On April 19^th, 2021 Construction Joint Stock Company 47 held the Summary Conference of Business Activities in 2020 and Laborer Conference in 2021 at Building 47 – Hai Au Bien Cuong Hotel, nestled on No.8 Bien Cuong Street, Quy Nhon City, Binh Dinh Province.

ANNUAL GENERAL MEETING OF SHAREHOLDERS 2021

On April 18^th, 2021 Construction Joint Stock Company 47 organised the Annual General Meeting of Shareholders 2021 at Building 47 – Hai Au Bien Cuong Hotel, nestled on No.8 Bien Cuong, Ngo May, Quy Nhon City, Binh Dinh Province. Attending the meeting were 49 delegates owing and receiving authority for 11.782.016 shares that represents 62,93% of shares with voting rights.

The meeting listened to the report of the Board of Directors (BOD) in 2020 and business orientation in 2021; Report of the Audit Committee on audit performance results for 2020 and plan for 2021; Proposals of the Board of Directors submitted to the General Meeting of Shareholders.

The meeting discussed, voted to approve and create the meeting’s resolution with the following main contents:

– Approve the report of the Board of Management and the Auditing Committee in 2020.

– Approve the 2020 consolidated financial statements and the 2020 audited separate financial statements.

– Approve the profit distribution plan and specific dividend payment plan for 2020: Dividend rate and bonus shares are 15%, in which dividend payment is 10% by shares, bonus shares, 5% from equity surplus.

– Approve production and business plan and dividend payment for 2021, with main targets such as:

+ Net revenue: 1,100 billion VND.

+ Profit after tax: 31 billion VND.

+ Minimum dividend payout ratio: 10%.

– Approve the authorization for the Board of Management to choose an auditing company to audit the 2021 financial statements and review the 2021 semi-annual financial statements.

– Approve the remuneration of the Board of Management in 2021.

– Approve the amendment and supplement of the Company’s Charter.

– Approve the report on results of convertible bond issuance and the content on converting bonds into stocks.

– Approve the plan of issuing shares to existing shareholders and private placement to professional securities investors to increase charter capital.

With a high rate of consensus (99.591%), the General Meeting of Shareholders unanimously approved the issues that the Board of Management submitted to the General Meeting of Shareholders and assigned the Board to implement.

Ceremony of flow block and water storage at the node structure cluster – Cai River Reservoir under Tan My Irrigation Project

On 15^th March 2021, The Ministry of Agriculture and Rural Development and Ninh Thuan Provincial People’s Committee jointly held a ceremony of flow block and water storage at the node structure cluster – Cai River Reservoir under Tan My Irrigation Project at Bac Ai District, Ninh Thuan Province.

Attendants at the ceremony included: On behalf of Ministry of Agriculture and Rural Development, there was Mr. Nguyen Xuan Cuong – Minister of Agriculture and Rural Development Ministry, Mr. Nguyen Hoang Hiep – Deputy Minister of Agriculture and Rural Development Ministry, Mr. Hoang Van Thang – Former Deputy Minister of Agriculture and Rural Development Ministry, leaders of Departments and Management Board of Irrigation Investment and Construction 7. Tan My irrigation system project was executed construction in two phases, phase one from August 2010, phase two from December 2018, this is a multi-purpose project, adapting to climate change and restructing the Agriculture sector, crucial for the socio-economic development of Ninh Thuan province, which is also the driest region of the country. Cai River water reservoir of Tan My irrigation system project is a level 1 project, including a main dam and four auxiliary dams creating a reservoir with a capacity of 199.5 million cubic meters, total capacity 219.8 million cubic meters. When put into operation, the system will irrigate and create a source of irrigation for 7,480 ha of agricultural land, watering Nha Trinh – Lam Cam irrigation system to ensure irrigation for 12,000 hectares, water for many areas in lakes: Cho Mo, Ba Rau, Song Trau, Ong Kinh …, serving domestic water, industrial production, aquaculture …. At the same time, it also contributes to reduce floods for downstream, improves rural transport infrastructure, ecological environment, creates sources for two hydropower plants with a capacity of 24MW and Bac Ai storage hydropower operating with a capacity of 1,200MW in contribution to load balance for the national power system.

Since the construction of the project up to now, despite many difficulties, but with the efforts of the consortium of contractors for constructing package 20, led by Construction Joint Stock Company 47, along with the timely assistance of the Ministry of Agriculture and Rural Development, the People’s Committee of Ninh Thuan province, the People’s Committee of Bac Ai district, Ninh Son district, especially the leaders and people of Phuoc Hoa and Lam Son communes. Currently, the whole cluster of key works of Song Cai Reservoir has completed more than 95% of the workload. The works have been inspected by the Investor-level Acceptance Council, State Inspection Council on construction works in terms of investigating and appreciating the quality, fine arts, and agreed to allow blocking water inflow in order to bring into full play efficiency, contributing to stabilizing the people’s life and socio-economic development of Ninh Thuan.

Ceremony of blocking the diversion culvert, and storing water at Dong Mit reservoir project

On March 8^th 2021, the Management Board of Irrigation Investment and Construction No. 7 under the Ministry of Agriculture and Rural Development (MARD) and the construction contractor consortium (led by Construction Joint Stock Company 47) ) held the ceremony of diversion culvert blocking and water storage at The Dong Mit Reservoir in An Trung commune, An Lao district, Binh Dinh province. This is one of the important milestones in the construction process of the project, marking the time when this project is filled with water serving the people’s livelihood and economic development.

Attending the ceremony, on the investor’s side, there were representatives of Leaders of the Irrigation Construction and Investment Management Board 7, the leader of the investor of the Compensation and Resettlement Component. On the local side, there were representatives of leaders of An Lao district and two communes of An Trung and An Dung. On behalf of Construction Joint Stock Company 47 (Head of the Joint Venture), there were Mr. Le Trung Nam – Chairman of the Board of Directors (Board of Directors), Mr. Pham Nam Phong – Vice Chairman of the Board of Directors, Mr. Duong Minh Quang – Member of the Board of Directors cum General Director, Mr., Ms. Head, Deputy Head of functional departments of the Company; Unit representatives of design and supervising consultants, and the majority of people in the project area.

Dong Mit water reservoir project is a Level 1 construction under Group A project, with a total investment of more than 2,140 billion VND, started construction from February 2019 in An Lao district, Binh Dinh province. The project is aimed at building a reservoir (nearly 90 million m3) to supply water in the dry season for economic sectors, improve ecological environment, reduce floods for downstream, contribute to socio-economic development for 4 districts of An Lao, Hoai An, Hoai Nhon and Phu My. Since the commencement of the project, despite many difficulties, especially the impact of the COVID – 19 epidemic, however with the efforts of the contractor consortium (Construction Joint Stock Company 47 , Mechanical and Machinery Erection Joint Stock Company 276 and Vietnam Institute of Water Resources Science), with the attention and timely help of the Ministry of Agriculture and Rural Development, the People’s Committee of Binh Dinh province, the People’s Committee of An Lao district, especially the An Trung commune, a large amount of work have been completed such as: excavating more than 1.3 million M3 of soil and rock of all kinds, pouring more than 60,000 M3 of common concrete and 280,000 M3 of RCC concrete; Completion of the mechanical installation of water culverts and diversion culverts; Finishing fabricating the gate valve and equipment; Installation of monitoring equipment according to the progress on the dam …. These achievement have been highly appreciated by the Acceptance Council of the Construction Management Department and allowed to carry out the work of diversion culverts.
